General: A deposit must
be submitted to E-cola.com in advance of initial advertising
date. By submitting advertising for inclusion on E-cola.com,
advertiser/agency agrees to be bound by the terms of this contract.
No conditions other than those set forth herein shall be binding
on E-cola.com. This contract supersedes any previous agreements
between E-cola.com and advertiser/agency relating to the subject
matter set forth herein. E-cola.com's only obligation to serve
advertisements hereunder shall be to serve advertisements of
the advertiser described herein, and in no event shall E-cola.com
be obligated to serve advertisements for any other advertiser.

Changes and Cancellations:
Cancellations and changes can be made via the advertiser login.
E-cola.com's advertising specifications are accessible through
the advertiser login. E-cola.com reserves the right to change
any of its advertising specifications at any time. |

|
| |
Delivery, Frequency
and Make good: All figures relating to the number of advertisements
served as determined by E-cola.com shall govern, regardless
of whether advertiser/agency is using the services of a third
party ad server. If E-cola.com fails to provide the guaranteed
number of impressions, E-cola.com will make good on this contract.

Key Words and Phrases:
E-cola.com offers no exclusivity on keywords or phrases. Each
advertiser will be given ranking positions based upon the bid
they enter on keywords/phrases. No keyword listings shall be
sent out, doing so will result in a deletion of your account.

|
| |
Rejections: E-cola.com
reserves the right, without liability, to reject, omit or exclude
any advertisement or to reject or terminate any links, buttons,
boxes or banners for any reason at any time, with or without
notice to the advertiser/agency, and whether or not such advertisement,
link, button, box or banner was previously acknowledged, accepted,
or published. |

Licenses
and Indemnification: Advertiser/agency grants E-cola.com the
right to use, reproduce, publicly display and distribute advertiser's
advertisements and collateral information and warrants that
advertiser/agency has the right to grant such license. Advertiser/Agency
represents that the advertiser is the owner or is licensed to
use the entire contents and subject matter contained in its
advertisements and collateral information, including, without
limitation, (a) the names and/or pictures of persons; (b) any
copyrighted material, trademarks, service marks, logos, and/or
depictions of trademarked or service marked goods or services;
and (c) any testimonials or endorsements contained in any advertisement
submitted to E-cola.com. In addition, advertiser/agency represents
that the advertiser's advertisements and collateral information
do not violate any applicable local, state or federal law or
regulation. In consideration of E-cola.com's acceptance of such
advertisements and information for publication, the advertiser
and agency will jointly and severally indemnify and hold harmless
E-cola.com and its officers, directors, shareholders, employees,
accountants, attorneys, agents, parent, affiliates, subsidiaries,
successors and assigns from and against any and all third party
claims, damages, liabilities, costs and expenses, including
reasonable legal fees and expenses, arising out of or related
to: (i) advertiser/agency's breach of any covenants, representations
and warranties made therein, (ii) E-cola.com's performance under
this contract, and (iii) the copying, printing, distributing,
transmitting or publishing of advertiser's/agency's advertisements
or collateral information by E-cola.com. |

Traffic quality: Any
suspicious, proxy, abusive or over clicking can result in deletion
or reductions of your account. Traffic mentioned in that of
point 9 is the only traffic that will be credited for. We do
not allow incentive traffic. Targeting a specific keyword is
also not allowed. People must search for what they want. |
|

|
|
| |
Payment: We pay our
Traffic Partners by PayPal (No Fee). We pay our Traffic Partners
on the 1st day of each month by net 30 days. For example, your
revenue for Jan. would be paid on Mar. 1st. |
|
| |
|
|
| |
We only pay for searches
from the United States, Canada, Australia, Austria, Belgium,
Denmark, Finland, France, Greece, Iceland, Italy, Netherlands,
New Zealand, Norway, Portugal, Spain, Sweden, Switzerland and
United Kingdom |
|
| |
|
|
| |
Self Searching: Affiliates
can search on their link daily, but only if they search honestly
and do not search for only high paying words. |
|
| |
|
|
| |
|
|
| |
Portal pages: You can
not make you custom portal page. |
|
| |
|
|
| |
Affiliates must understand
basic English to be paid. |
|
| |
|
|
| |
Affiliates that have
false or incomplete details will not be paid. Please enter your
full details with the correct country. |
|
| |
|
|
| |
Any affiliates that are
known hackers, cheaters or have committed any other illegal
or fraudulent activities elsewhere have the right to be removed
from our program. |
|
| |
|
|
| |
Limitation of Liability:
UNDER NO CIRCUMSTANCES WILL E-cola.COM BE LIABLE FOR ANY SPECIAL,
INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT
LIMITATION, FOR LOST INCOME OR PROFITS, IN ANY WAY ARISING OUT
OF OR RELATED TO THIS CONTRACT, EVEN IF E-cola.COM HAS BEEN
ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES. |

Change Of Terms E-cola.com
may, at any time, choose to edit, add and/or delete portions
of this agreement and impose changes without prior notification
of its members. If any modification is unacceptable to you,
your only recourse is to terminate this agreement. Your continued
participation in the E-cola.com program and any use of the E-cola.com
Search Code property following our posting of a change in policy
notice or new agreement on our site will constitute binding
acceptance to the change. |
